What should I ask for my car?

Hi Guys... I have a friend who would like to buy my 2007 Silver S sedan Yaris, lets just call it 170,000 miles, well maintained, oil changes, transmission, and spark plugs, coolant all serviced recently. The Michelin Harmony tires have 100,000 highway miles and they still look good tread wise., original brakes, still have 30%+ life, I keep getting a P0420 check engine light every couple weeks, and during the winter I had the BRAKE/ABS light coming on disabling the ABS system. These last two items have not been addressed but the ABS/BRAKE light has not come on in the last month since the snow has stopped. the car is in good condition otherwise. I have not had any other problem except the recall taken care of for the seatbelt. no oil leaks, have oil analysis showing excellent results every 30,000 miles during the life of the car. I have the interested party having a huge concern with the Timing chain not being services, but to my knowledge this is not anything that requires service at this point.... We dont have an emissions check here i Kentucky, so Im thinking the P0420 is maybe the catalytic convertor, which may be like a $700 repair? and the brake issue might be a $400 issue based on anything I have read.... Most sites say my car is worth $5500 (have cruise, power windows locks, upgraded speakers/sony stereo), should I have the 2 items fixed if I can sell it for $5500 or should I ask for $4500 and just disclose the concerns? or is this price maybe still to high, I just dont know how to go about this with someone... any thought how you would proceed?

personally i think even $5500 is low, mind u 170,000miles is quite high. the ones i have found locally with about 40,000 miles go for about $10,xxx
